01 / WHO WE ARE

LVD Labs is the operating name of Legacy Vision Dynamics Ltd, a company registered in Nigeria. When this document says "we" or "us" or "LVD," it means Legacy Vision Dynamics Ltd. Our registered contact is hello@lvdlabs.io.

02 / WHAT WE DO

We build custom AI agents, operational automations, and the systems that run them. Each engagement is governed by its own signed proposal or statement of work. This page is the umbrella agreement; the proposal is the specifics.

03 / PAYMENT

Payment terms are set in each signed engagement. Audits are paid upfront. Builds are typically billed as a deposit plus milestones. Retainers are billed monthly in advance. If a payment is more than 14 days late, we may pause work until it's resolved.

04 / OWNERSHIP OF WORK

When you've paid in full for an engagement, the work product belongs to you — code, configurations, prompts, documentation. We retain the right to reference the work in our portfolio in general terms (e.g., "we built a lead intake agent for a clinic"), but we won't share client names, screenshots, or sensitive details without permission.

05 / WHAT WE'RE NOT RESPONSIBLE FOR

We build software. Software has bugs. We do our best to ship durable systems and to fix what breaks, but we can't be liable for downstream consequences — lost revenue, missed deadlines, decisions made on bad output, or actions taken by AI agents we build that you've put into production. Our liability for any engagement is capped at the fees paid for that engagement.

06 / TERMINATION

Either of us can end an engagement with 14 days' notice. If you cancel mid-build, you pay for the work completed up to that point. If we cancel, we refund any unearned portion of fees. Retainers end at the close of the current paid month.

07 / CONFIDENTIALITY

Anything you share with us about your business stays with us. We'll happily sign a more detailed NDA if your situation needs one. We expect the same in reverse for our methods and pricing.

08 / DISPUTES

If something goes wrong, the first step is talking to us. Email hello@lvdlabs.io. If we can't resolve it that way, disputes are governed by Nigerian law and resolved in courts of competent jurisdiction in Abuja.

09 / CHANGES

We update these terms when our practices change. Material changes get an email to active clients. Continuing to work with us after an update means you accept the updated terms.
